These Terms of Service ("Terms") govern your access to and use of SendMe, the mobile application, website, application programming interface and related services (together, the "Service") operated by Boldswitch Limited ("Boldswitch", "we", "us", "our"). By creating an account, opening the app, or using any part of the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Where these Terms describe how money is held, released, refunded or charged, they describe what the Service does automatically. Those mechanics are the contract.
01Definitions
- "Requester" means a user who creates a Request for something to be done.
- "Agent" means a user who has completed agent verification and accepts Requests in exchange for payment.
- "Request" means a job posted through the Service in one of three categories: Render a service, Send a parcel, or View a property for me.
- "Offer" means the amount a Requester proposes to pay for a Request, expressed per hour, per day or overall for a service, and as a single total for a parcel or a property viewing.
- "Locked Price" means the amount a Requester locks after any counter-offers, which the Agent then accepts.
- "Held Funds" means the Locked Price, plus any live-view fee, that the Service holds from the Requester's Wallet from the moment the Agent accepts until the Request is released, refunded or otherwise resolved.
- "Wallet" means the naira balance the Service maintains for each user, consisting of an available balance and a held balance.
- "Proof" means the photos, checklist answers, live-view snapshots and other media an Agent uploads through the Service in the course of a Request.
- "Approval" means the Requester's confirmation in the Service that a Request is complete, which releases Held Funds.
- "Partner" means an organisation that integrates with the Service through the Partner API under a separate partner agreement.
02Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract under Nigerian law to use the Service. The Service is offered in Nigeria; Requests must relate to addresses within Nigeria and all amounts are in Nigerian naira.
You create an account with an email address and a one-time code. One person may hold one account. An account may be used both to send Requests and, after agent verification, to accept them; both roles are governed by these Terms.
You are responsible for everything done through your account. Keep your login details and your phone secure, and tell us immediately if you believe your account has been used without your permission. Letting another person work under your verified profile is a breach of these Terms and results in immediate removal.
We may refuse, suspend or close an account where we reasonably believe these Terms have been breached, where verification cannot be completed, or where the law requires it.
03Verification
Before an account can send a Request, three checks must pass: a phone number confirmed by one-time code; a government-issued identity document and National Identification Number (NIN) checked through our identity provider, SSYNC ID; and a live passport photo taken in the app and matched to that document. Photos taken from the device gallery are not accepted for the identity check.
Before an account can accept Requests as an Agent, a fourth check must pass: proof of home address in the form of a utility bill, bank statement or tenancy document dated within the last three months, reviewed by us. You may strengthen this by confirming your current location within 150 metres of the stated address. Only Agents whose address is verified are shown to Requesters and may go online.
We may ask you to repeat any check at any time, and we may rely on the results our identity provider returns. We do not store your NIN; the identity provider processes it and returns a result to us. See the Privacy Policy for detail.
Your verification status is shown on your profile as a trust level so that other users know how far you have been checked.
04What SendMe is, and is not
SendMe is a marketplace. It connects Requesters with independent Agents, holds the agreed payment while the work is done, and records what happened. Agents are independent contractors, not employees, partners or representatives of Boldswitch. We do not supervise the work and we do not perform it.
An Agent's report on a property viewing describes what the Agent observed and answers the questions the Requester asked. It is not a survey, valuation, inspection by a licensed professional, title search, ownership check or legal due diligence, and it does not certify the condition of a property beyond what is shown in the Proof.
We do not guarantee that an Agent will be available for any Request, that a Request will be accepted, or that any outcome will be achieved. Availability depends on which verified Agents are online near the address at the time.
We are not a bank, a deposit-taking institution or an insurer. Wallet balances are not deposits, earn no interest and are not insured. Parcel item values are recorded to inform the Agent and any dispute; recording a value does not create an insurance contract.
05Requests, offers and the price lock
A Requester creates a Request by choosing a category, describing the job in text or a voice note, and setting an Offer. Offers must be between ₦100 and ₦1,000,000. Requests may be sent to a chosen Agent, or left open for nearby Agents to accept or express interest; open Requests collect interest from up to 100 Agents and the Requester chooses among them.
An Agent may accept the Offer or propose a different price. The Requester may change the Offer at any time before locking it. When the Requester locks a price, the Service checks that the Requester's available Wallet balance covers the Locked Price plus any live-view fee; if it does not, the Requester must fund the Wallet before the lock takes effect.
For a property viewing, the Requester may switch on live view for a flat fee of ₦2,000, which is added to the amount held.
When the Agent accepts the Locked Price, the Request becomes agreed, the Held Funds are placed on hold, and the exact address of the Request is shared with the Agent. Until that moment the Agent sees only the general area.
Requesters must describe Requests truthfully and completely, including anything that affects safety, access or the Agent's ability to do the work, and must be present or arrange access where the work requires it.
06Wallet, held funds, fees and withdrawals
Funding
You fund your Wallet by bank transfer through our payment processor, Paystack, from ₦100. A funding instruction is valid for 30 minutes. A verified email address is required before funding.
Holding and release
Held Funds are placed on hold when the Agent accepts the Locked Price and are released only when the Requester approves the completed Request, or when a dispute or cancellation is resolved under these Terms. Held Funds are never released automatically by the passage of time.
Platform fee
On release, Boldswitch deducts a platform fee of 20% of the Held Funds. The Agent receives the remainder in their Wallet. The fee is shown to both parties before the price is locked.
Tips
A Requester may add a tip of up to ₦10,000 when rating a released Request. Tips move from the Requester's available balance to the Agent's Wallet in full; no platform fee applies to tips.
Withdrawals
You may withdraw available balance to a bank account held in your own name, from ₦200. A withdrawal fee of ₦50 plus 0.5% applies. Withdrawals are queued and sent through our payment processor; they are not instant, may be retried, and if a transfer finally fails the amount is returned to your Wallet.
Receipts and records
The Service produces a receipt for every Request and every Wallet transaction. All amounts are recorded in kobo and rounded only for display. We may correct a Wallet entry made in error and will tell you when we do.
07Doing the job: obligations of Agents
An Agent who accepts a Request must move it through its four steps in the Service, in order, as they happen: for a service, agreed, on the way, working, done; for a parcel, agreed, picked up, in transit, delivered; for a property viewing, agreed, on the way, viewing, report sent. The final step cannot be reached without Proof uploaded through the Service during the Request, and a property viewing additionally requires a written answer to every checklist item.
- Upload Proof from the job, in the app. Media from a device gallery may not be presented as Proof.
- Hand a parcel only to the receiver named on the Request, and photograph the parcel at pickup and at delivery. Decline a parcel at pickup if it does not match its description.
- Do not carry anything unlawful, hazardous, or that requires a licence to transport.
- Do not take cash or any payment outside the Service, and do not renegotiate a Locked Price in person. Counter-offers happen in chat before the lock.
- Describe what you observe factually. Do not offer guarantees, valuations or advice you are not qualified to give, and do not present yourself as a surveyor, valuer, inspector or licensed professional.
- Respect the people and property you encounter. Do not record anyone without appropriate permission.
- Keep your location fresh while online. Going online requires a location reading less than 30 minutes old.
Boldswitch is not a party to the contract for the work between Requester and Agent. Agents are responsible for their own conduct, tools, transport, taxes and compliance with applicable law.
08Approval, disputes and resolution
When an Agent reaches the final step, the Request awaits the Requester's Approval. The Requester should review the Proof promptly. Approval releases the Held Funds as described above and cannot be reversed.
While a Request is awaiting Approval, the Requester may instead raise a dispute, stating a reason, attaching up to 20 images of evidence, and indicating the outcome sought: a full refund, a partial refund, or a redo. Reasons are specific to each category, for example not completed, poor quality, no show or property damage for a service; not received, damaged, late or wrong receiver for a parcel; did not visit, questions unanswered, unclear media or a different property for a property viewing.
Held Funds remain on hold while a dispute is open. Boldswitch reviews the record of the Request, including the steps, the Proof and the chat, and may ask either party for more information. We resolve a dispute by ordering a full refund, a partial refund, a release to the Agent, or a redo, which returns the Request to the agreed step. Both parties are told the outcome and the reason.
Our resolution is final within the Service. It does not prevent either party from pursuing other remedies available under law, but the Held Funds will be distributed according to our resolution.
A truthful report that a Requester finds unflattering is not grounds for a dispute. Dishonest disputes, like dishonest Proof, are a breach of these Terms.
09Cancellations and refunds
- Before a price is locked and accepted, either party may withdraw from a Request at no cost. Nothing has been held.
- After the Agent has accepted and funds are held, a Requester's cancellation is sent to the Agent, who has 24 hours to accept or dispute it. If the Agent does not respond within that time, the cancellation is treated as accepted.
- When a Requester's cancellation is accepted, 80% of the Held Funds is returned to the Requester's Wallet and Boldswitch retains its 20% platform fee.
- An Agent may cancel an accepted Request at any time. The Requester is refunded in full, the Agent receives nothing for that Request, and the cancellation is counted on the Agent's profile.
- Refunds are made to the Wallet, not to an external account. You may then withdraw under the withdrawal terms.
Repeated cancellations, by either party, may result in reduced visibility, suspension or removal.
10Chat, voice notes, live view and media
Each Request has a chat between Requester and Agent, and every user has a support conversation with Boldswitch. Chat supports text, images, video and voice notes. A Request's chat becomes read-only when the Request is released or cancelled.
Voice notes you record for a Request are transcribed and summarised automatically so that a one-line summary can be shown on the Request. The original recording remains available to the other party. If you prefer not to have a voice note processed this way, type the details instead.
Live view on a property viewing is a real-time video session inside the app, available while the Agent is at the viewing step. The Requester may send short typed questions during the session and save snapshots, which become part of the Proof. Live view is not available on the web.
Proof and other Request media are stored for 365 days from upload and are served through short-lived signed links. We may review any content on the Service to resolve a dispute, investigate a breach of these Terms, or comply with law.
You retain ownership of content you upload. You grant Boldswitch a non-exclusive, worldwide, royalty-free licence to store, process, display and transmit that content as needed to operate the Service, resolve disputes, and comply with law, for as long as we retain it. You confirm you have the right to upload what you upload.
11Prohibited uses
You must not use the Service to:
- Request, perform or transport anything unlawful, or anything that would require a licence the Agent does not hold.
- Deceive another user, including by misdescribing a Request, a parcel, a property or yourself, or by presenting gallery media as Proof.
- Take, offer or solicit payment for a Request outside the Service, or use the Service to arrange work that is then completed off-platform.
- Harass, threaten, discriminate against or endanger any person.
- Access another person's account, scrape the Service, interfere with its operation, or attempt to circumvent verification, holds or fees.
- Use the Service if you are under 18, or on behalf of someone who is.
- Post reviews, ratings or disputes that you know to be false.
12Suspension and termination
You may close your account at any time from the app. Requests in progress must first be completed, cancelled or resolved, and any available balance may be withdrawn under the withdrawal terms.
We may suspend or terminate your access immediately if you breach these Terms, if we are required to by law, or if we reasonably believe your use puts other users, the Service or Boldswitch at risk. The following result in immediate removal: presenting gallery media as Proof; handing a parcel to anyone other than the named receiver or opening it; taking money outside the Service; or allowing another person to use your verified profile.
On suspension or termination, Held Funds are resolved under the dispute and cancellation terms so that the innocent party is made whole, and any remaining available balance is returned to you after any amounts you owe are deducted. Sections that by their nature should survive termination, including those on money, content, liability and governing law, survive.
13Partner API
Organisations may integrate with the Service through the Partner API under a separate partner agreement. Partners receive scoped API keys, may use a test mode that creates draft Requests which never match a live Agent, and may use hosted verification and hosted Request sessions so that their users verify and transact on SendMe.
Partners receive Request status by signed webhook and may read the record of Requests they created. Partners do not receive NIN data, identity images, escrow controls or Agents' home addresses. A Partner is responsible for its own users, its own systems, and for keeping its keys and webhook secrets confidential.
Where a Partner's terms and these Terms conflict as to a user's use of SendMe, these Terms prevail for the user.
14Intellectual property
The Service, including its software, design, text, marks and the SendMe name and logo, belongs to Boldswitch or its licensors and is protected by law. We grant you a limited, revocable, non-transferable licence to use the app and website for their intended purpose. You may not copy, modify, reverse engineer or create derivative works from the Service, or use our marks without written permission.
15Disclaimers and limitation of liability
The Service is provided as is and as available. To the fullest extent permitted by Nigerian law, Boldswitch disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted, error-free or secure.
Boldswitch is not liable for the acts or omissions of Requesters, Agents or Partners, for the quality, safety or legality of any work, parcel or property, or for any loss arising from your reliance on Proof or an Agent's report. Our remedies for a failed Request are the dispute, refund and cancellation mechanisms in these Terms.
To the fullest extent permitted by law, Boldswitch's total liability to you for any claim arising out of or relating to the Service is limited to the platform fees you paid to Boldswitch in the three months before the event giving rise to the claim. Boldswitch is not liable for indirect, consequential, special or punitive loss, or for loss of profit, data or goodwill.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for death or personal injury caused by negligence, or for fraud.
16Indemnity
You agree to indemnify and hold harmless Boldswitch, its officers, employees and agents from any claim, loss, liability, damage or expense, including reasonable legal fees, arising from your breach of these Terms, your use of the Service, your content, or your dealings with any other user.
17Governing law and disputes with Boldswitch
These Terms are governed by the laws of the Federal Republic of Nigeria. Before bringing a claim against Boldswitch, contact support through the app or at support@sendme.ng and give us 30 days to resolve it. Subject to that, the courts of Lagos State, Nigeria have exclusive jurisdiction over any dispute arising out of these Terms or the Service.
Disputes between a Requester and an Agent about a Request are handled under the dispute section above.
18Changes to these Terms
We may update these Terms. If a change is material, we will notify you in the app or by email at least 14 days before it takes effect, unless the change is required by law or is needed urgently to protect users, in which case it takes effect on notice. Continuing to use the Service after a change takes effect means you accept the updated Terms. The version and effective date appear at the top of this page.
